Role Summary:
You will work closely with senior management to uphold the highest standards of corporate governance, regulatory compliance, and industry best practices.
Key Responsibilities – Company Secretarial:
- Corporate Governance: Ensure meticulous compliance with all Companies Act requirements, diligently maintaining statutory books and records, and preparing timely, accurate filings with the Companies Registration Office.
- Board & Shareholder Management: Provide comprehensive support for board meetings, including agenda preparation, minute-taking, action item follow-up, and liaison with directors and shareholders.
- Shareholder Administration: Manage share registers, share transfers, rights issues, and all related documentation. Advise stakeholders on shareholder queries in a clear and timely manner.
- Proactive Approach: Proactively research and anticipate changes in company law and corporate governance best practices, implementing updates and advising management accordingly.
Key Responsibilities – Compliance Support:
- Regulatory Collaboration: Build strong working relationships with regulatory bodies, assisting in the preparation of submissions, reports, and responses to regulatory inquiries.
- Knowledge Development: Gain in-depth understanding of relevant financial regulations, tracking updates and maintaining internal documentation of compliance practices.
- Monitoring & Reporting: Assist in developing compliance monitoring procedures, identifying potential risks, and contributing to regular internal reporting to management.
- Training & Culture: Support the implementation of company-wide compliance training programs, fostering a strong culture of adherence to standards and best practices.
Desired Qualifications:
- Qualified Company Secretary (ICSA or equivalent) with 3 years experience, ideally within a financial services setting.
- Proven track record of meticulous attention to detail and exceptional accuracy in managing corporate records.
- Excellent written and verbal communication skills, ability to interact effectively with both internal and external stakeholders at all levels.
- Strong interest in expanding knowledge within the legal and compliance fields.
- Highly organized, proactive self-starter with the ability to manage multiple tasks in a dynamic and deadline-driven environment.
