My client are a well regarded international private markets specialists with a small but growing office in Dublin.

They are seeking an experienced funds solicitor for a new role based in Dublin, which will have a broad remit in a highly autonomous role.

Key responsibilities:

  • Be an efficient stakeholder manager
  • Be used to move many open items in parallel to closure and prioritise rigorously
  • Be business driven and protect the firm and its investors from key risks
  • Be well organised and used to documenting reliably
  • Be willing and interested to take up ad-hoc tasks as they arise

Essential Job Functions:

  • Negotiate and draft fund related agreements (such as investment advisory agreements, depository agreements, administration agreements, side letters etc.) and other fund related documents (such as subscription forms, offering memorandum, supplements, etc.)
  • Review legal terms of primary and secondary fund investments
  • Support management of boards, participate in committees
  • Manage outside counsel and other services providers such as company secretaries
  • Advise organisation about legal and regulatory changes

Education and/or Work Experience Requirements:

  • Extensive experience in drafting fund related agreements and other documents, with special focus on Irish and Luxembourg
  • Alternative Investment Funds (‘AIF’) as well as Cayman fund structures
  • Substantial experience in negotiating fund related agreements with highly experienced lawyers representing large single
  • investors in a fund-of-one context or asset managers in the context of a separate managed account.
  • Experience in advising AIFMs in regulatory or legal matters
  • Have successfully worked for 5 years in reputable law firm in the relevant field (Senior Associate or similar)
  • Preferably have some experience as an in-house lawyer
