Solicitor | In-House | 2-4 PQE | Structured Finance

This is a terrific opportunity for an experienced solicitor with corporate, finance, structured finance or funds exposure to step into a dynamic role in an international financial services entity with a strong presence in Ireland.

Based in Dublin, you will become part of a team of lawyers, accountants and secretarial support that manages a portfolio of client companies. You will strive to provide high quality services to your team and clients.

Your key tasks and responsibilities are:

  • Manage directors’ and shareholders’ meetings in an effective and professional manner
  • Prepare a wide variety of minutes, resolutions and associated documentation, including dealing with share transfers, accounts, issuing powers of attorney, company formations etc.
  • Maintain and update statutory records and client database
  • Completion and timely submission of statutory forms/returns
  • Arrange for notarising and legalization of documents
  • For new clients manage all legal aspects of the on-boarding process.
  • Review and manage in a timely manner all client documentation pertaining to client transactions
  • Monitor and remain informed of new industry developments and legislation.
  • Liaise with our internal group legal function.
  • Management of legal aspects of special purpose vehicles involved in structured finance and financing transactions, including securitization;
  • Liaising with corporate secretarial staff in ongoing legal and compliance matters;
  • Communicate with and advise clients, (tax) advisors, lawyers, notaries, other professionals, government institutions and other offices worldwide;
  • Act as Director of SPV’s where required;
  • Maintain and develop a good network of internationally established clients;
  • Support our marketing and sale efforts by developing a network of professionals and advising existing clients and prospects on (new) structures;
  • Involvement in other aspects of client work as required
  • Attend meetings with new and existing clients with regards to new business opportunities
  • Work with other officers and third parties to transfer business

Qualifications and Experience: the following will be highly regarded:

  • Qualified Solicitor
  • Approximately three years’ experience in a comparable position preferably within the structure finance business
  • Exposure to tax driven and/or private equity and real estate structures is a definite advantage
  • Working experience within capital markets area, specifically in securitization transactions
  • Willingness to further develop (international) tax and company law knowledge
  • Excellent interpersonal and communication skills i.e. commercial and service minded
  • Responsible, reliable and excellent team player
  • Fluency in English is essential
  • Eligibility to work in Ireland
